1. ELIGIBILITY: The Flex Pay Cruise Sweepstakes (“Sweepstakes”) is open to residents of the 50 United States and D.C., 18 years of age and older (or age of majority in their state of residence) as of March 3, 2026, except for employees of Upgrade Financial, Inc ("Sponsor"), Celtic Bank (“Bank Partner”), their affiliates, subsidiaries, and agencies (collectively "Promotion Parties"), and members of their immediate family or persons living in the same household (“Entrant”). Void where prohibited or restricted by law.
2. SWEEPSTAKES PERIOD: Beginning on March 3, 2026 at 9:00 AM Pacific Standard Time through March 31, 2026 at 11:59 PM Pacific Standard Time,
3. HOW TO ENTER: There are two ways to enter the Flex Pay Cruise Sweepstakes. 
   1. Flex Pay Application Entry: Any individual who completes a Flex Pay application for cruise travel by the end of the Sweepstakes Period will receive an entry using the email address on their application.
   2. Alternate Method of Entry (“AMOE”): Any individual who likes this our Flex Pay Cruise Sweepstakes social media post on Instagram @upgrade_credit, posted on March 3, 2026 and completes the linked form with your full name, phone number, and email address by the end of the Sweepstakes Period. 
   3. Each Entrant may only enter once. 
4. DRAWING: A random drawing will be conducted on or about April 30, 2026 by Sponsor to select the winner from among all eligible entries received. Odds of winning depend on the number of entries received. 
5. NOTIFICATION TO WINNER: Potential winner will be notified by email by Sponsor to the email associated with their Flex Pay application, or the email used to complete the AMOE and must respond within 2 business days of Sponsor’s Notification. Failure to respond within this time will result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner. 
   1. Any return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of prize are the responsibility of winner. 
6. LIMITATION OF LIABILITY: By entering this sweepstakes, entrants waive all right to, and hold the Sponsor, Bank Partner, their affiliates, subsidiaries, and agencies harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with participation in this sweepstakes or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. Sponsor will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive prize notices due to entrant's spam, junk e-mail, or other security settings or for entrants' provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this sweepstakes; by any human error which may occur in the processing of the entries in this sweepstakes; or any typographical, technological, or other error in the publishing of the offer, administration of the sweepstakes, or announcement of the prize. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the online entry form. 
7. PRIZE: Two winners will receive a $2500 check (“Prize”), with a retail value of $2500.00 to the address provided in the entry. Total prize value: $2500.00. Prize consists of only the specifications described. Limit one prize per winner. No substitution or transfer of prize permitted by winners. Sponsor reserves the right to substitute a prize of equal or greater value. All prizes will be awarded. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. Acceptance of a prize also constitutes permission to the Promotion Parties to use winners’ names and biographical information for marketing purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply.
8. MISCELLANEOUS CONDITIONS: All Entries become the property of Sponsor and will not be returned. By participating, Entrants agree to abide by and be bound by these Official Rules, which shall be final and binding with respect to all issues relating to this Sweepstakes. Entrant is responsible to ensure their compliance with these Official Rules and any conditions. Sponsor is not responsible for any lost, late, misdirected, stolen, illegible, incomplete Entries, or for any computer, online, telephone or technical malfunctions that may occur. Sponsor is not responsible for any incorrect or inaccurate information about the Sweepstakes, any issues with the equipment or programming associated with or utilized to facilitate the Sweepstakes, or any technical or human error, which may occur in the processing of submissions in the Sweepstakes. Promotion Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries. Promotion Parties are not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing.  Promotion Parties are not responsible for any injury or damage to participants or to any computer related to or resulting from participating or downloading materials in this Sweepstakes. Persons found tampering with or abusing any aspect of this Sweepstakes, or whom Sponsor believes to be causing malfunction, error, disruption or damage will be disqualified.  CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.  Sponsor reserves the right to correct any typographical, printing, computer programming or operator errors. If for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Promotion Parties which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right to cancel, modify, or suspend the Sweepstakes or any element thereof (including, without limitation, these Official Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Official Rules). In the event of cancellation, modification, or suspension, Sponsor reserves the right to select winners in a random drawing from among all eligible, non-suspect Entries received prior to the time of the event warranting such cancellation, modification, or suspension. Sponsor may not provide notice of such cancellation, modification, or suspension at Sponsor’s discretion. Sponsor may prohibit any Entrant or potential entrant from participating in the Sweepstakes, if such Entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other Entrant, Sponsor, or Sponsor’s agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion). Sponsor reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes. By participating in this Sweepstakes, each Entrant agrees to release and hold harmless Promotion Parties from any and all liability whatsoever for any injuries, losses or damages of any kind arising from or in connection with, either directly or indirectly from: 1) the awarding, acceptance, receipt, possession, use and/or misuse of any prize awarded herein; or 2) participation in the Sweepstakes or any prize related activities.

CHOICE OF LAW AND FORUM: Entrant agrees that all matters arising out of or relating to this sweepstakes and these Official Rules are governed by, and construed in accordance with, the laws of California, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this sweepstakes and these Official Rules shall be brought exclusively in the applicable federal or state courts located in San Francisco, CA.
10. PRIVACY:  Sponsor will be collecting data Entrants online. 11. WINNER LIST: To obtain a list of the prize winners, email flexpaysweepstakes@upgrade.com by April 30, 2026 with the subject line of “ Flex Pay Cruise Sweepstakes” Names Winner List. The list will be emailed to you within a week that winners are selected.
