Cash Back Rewards Program

Terms and Conditions

The Cash Back Rewards Program (“Program”) allows eligible credit card customers through Upgrade, including OneCard, and other eligible credit card programs through Upgrade, (each a “Card”) to earn cash Rewards as described below and subject to these Program Terms and Conditions (“Terms and Conditions”) and the applicable Cardholder Agreement, which is incorporated herein by reference. These Terms and Conditions govern the Program as made available by Upgrade, Inc. (“Upgrade”, “we”, “us” or “our”) to you, as a cardholder (“You” or Your”). The Program, including all Rewards, is sponsored, funded, and administered solely by Upgrade. Pathward®, National Association is the issuer of the Card but does not fund or administer Rewards under the Program.

By participating in the Program, You acknowledge that You have read, understood, and agree to be bound by the Terms and Conditions herein:

  1. How You Earn Rewards. You earn rewards based on the percentage(s) applicable to Your enrolled Card Program (“Rewards”). You accrue Rewards when You make eligible Card purchases with Your Card, as defined in your Cardholder Agreement. Please see "How to Redeem Rewards" below for information on how to redeem Your Rewards. From time to time, Upgrade may, in its sole discretion, make available promotional offers that allow You to earn rewards on other eligible transactions. Promotional offers may not be available to all Card customers. The applicable reward percentages, eligible categories, and promotional earning opportunities for your Card Program are disclosed to you at account opening and may be provided post‑opening through marketing materials, your account dashboard, or your periodic statements. Such rewards features may vary by Card Program and are not fixed in these Terms and Conditions.
  2. What Card Purchases are Eligible. Rewards are earned on eligible Card purchases and will generally appear in the Rewards section of Your dashboard once the transactions have settled. For Card purchases to be eligible, the transactions must have settled. Card purchases that are canceled, refunded, returned to the merchant, or that otherwise failed to process or were reversed, credited, or returned for any reason will not generate rewards or such rewards will be deducted from your Rewards balance, and it may result in a negative Rewards balance.  Other transactions that are not eligible include, but are not limited to, balance transfers, cash advances, the purchase of checks, financial products, promotional merchandise, foreign currency, money orders, other monetary instruments or similar, debt repayment, account funding, transfers to Your bank, transactions executed for the sole purpose of transferring funds to another account maintained or controlled by the same consumer, interest assessed on eligible Purchases, other non-purchase transactions, purchases converted to certain non-rewards eligible Flexible Repayment Plan(s) or converted to certain non-rewards eligible Flexible Repayment Plan(s) loan(s), or disputed or fraudulent transactions. Please refer to your Card Account Agreement for what transactions constitute purchases.
  3. Merchant Codes for Category Rewards. For enrolled Card Programs that offer specific rewards for select categories, You can earn those rewards for Card purchases made in those categories. Merchants are assigned a merchant code based on the kinds of products and services they primarily sell. Upgrade utilizes merchant codes to determine categories for purposes of making rewards offers to You. However, some Purchases may not earn Rewards due to the individual merchant’s assigned merchant code, and Upgrade does not guarantee or control what merchant code is assigned to an individual merchant or that a purchase at a specific merchant will earn Rewards.
  4. How to Redeem Rewards. Your accrued Rewards earned on eligible purchases will generally be applied to your Card Account Rewards balance after the end of your current billing cycle.
Methods of reward redemption may be made available to You in Upgrade’s sole discretion and pursuant to these Terms and Conditions. Certain redemption options may not be available at time of redemption. If available for Your Card Account, You may elect one, at your option, or more of the following redemption methods: a)  redemption of Rewards as a statement credit to Your Card Account in accordance with your Cardholder Account Agreement; or, b) if Your Card Account balance is paid in full, you can contact servicing@upgrade.com to request a check be sent to you. Your Card Account must be in good standing  (i.e., not past due, not in default, not under fraud, misuse, or abuse) to redeem Rewards. In Upgrade’s sole discretion, we may, from time to time, make available the ability to redeem a specific amount of eligible Rewards. Upgrade may change, suspend, or discontinue any redemption method at any time. If a particular redemption method is not available to You, only Your entire eligible Rewards balance will be available for redemption. If You elect to redeem Your accrued Rewards as a statement credit to Your Card Account balance, the amount You elect to redeem will generally be applied to Your Card Account balance on that same day if the redemption request is before 11 PM PT, though it may take up to three (3) days after submission for the statement credit to appear on Your account. Depending on what your Card balance is comprised of, Rewards may be applied to your principal balance and interests but it may not reduce the amount of your minimum monthly payment due.
Rewards are promotional incentives and not Your property until redeemed.  Rewards may not be transferred by operation of law, including by inheritance, bankruptcy, or divorce.
  5. Changes to the Program. Upgrade may revise these Terms and Conditions from time to time. The revised version will be effective at the time it is posted at this webpage (or visit www.upgrade.com/credit-card/cash-rewards/program-terms/), provided that we will notify You of any change when required by applicable law. Please regularly check this webpage so You are aware of any changes. By continuing to use Your Card after the effective date of any changes, You thereby agree to such changes. No change will retroactively reduce or eliminate Rewards that have already been earned, except as permitted by applicable law.
  6. Closing Your Account.  If your Card Account is closed by Pathward®, National Association  or if Upgrade terminates the Program in accordance with these Terms and Conditions and any unredeemed rewards will be forfeited, except where applicable law requires otherwise. If You elect to close Your Card Account, You may redeem any eligible Rewards prior to closing Your account. Please note that redemption requests are subject to operational processing windows and must be settled while Your Card Account remains in open status.
  7. How You Could Lose Your Rewards. Upgrade may, at its sole discretion and consistent with the terms of the Card Account Agreement, decline to allow You to accrue or redeem rewards, if,  for example, for accounts that Upgrade determines show signs of fraud, misuse or abuse, accounts that are no longer in good standing or for accounts that are past due, delinquent or closed for any reason.
  8. Additional Terms. Rewards cannot be sold, attached, seized, levied upon, pledged or transferred under any circumstances including, without limitation, by operation of law, upon death, or in connection with any dispute or legal proceeding. We may assign our rights and obligations under these Terms and Conditions to a third party, who will then be entitled to any of our rights that we assign to them.
  9. Communications. We may send communications about this program to you at any mailing, email address in our records or through Your Account Dashboard.
  10. Warranty Disclaimer; Limitation of Liability. The Program and any Program content are provided on an “as is” and “as available” basis. Upgrade, Pathward®, National Association, and their respective affiliates, directors, officers, employees, agents or contractors (together, “Upgrade Parties”) make no representations or warranties concerning the Program or any Program content, either express or implied, including, without limitations, warranties of title, merchantability, fitness for intended use or a particular purpose, non-infringement, and otherwise arising by law, custom, usage, trade practice, course of dealing or course of performance. Upgrade Parties do not warrant that the functionality or availability of the Program and any Program content will be uninterrupted or error-free, that defects will be corrected, or that they will be free of viruses or other harmful components. Notwithstanding the foregoing, nothing in these Terms and Conditions shall alter, limit, or modify Pathward®, National Association’s rights, obligations, or liabilities as the issuer of the Card, which are governed exclusively by the Cardholder Agreement and applicable federal law. IN NO EVENT WILL UPGRADE PARTIES BE LIABLE TO YOU OR TO ANY OTHER PARTY FOR ANY DIRECT, INDIRECT, OR ANY OTHER SPECIAL, CONSEQUENTIAL, INCIDENTAL, DAMAGES, INJURY, CLAIM, OR LIABILITY OF ANY KIND ARISING FROM YOUR USE OF THE PROGRAM, EVEN IF THE UPGRADE PARTIES ARE AWARE OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT ALLOWED BY APPLICABLE LAW, UPGRADE PARTIES’ LIABILITY TO YOU FOR ANY CAUSE OF ACTION REGARDLESS OF FORM WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU.
  11. Choice of Law; Jurisdiction and Venue. Except as set forth in the Arbitration Provision of Your Cardholder Agreement (incorporated herein by reference), these Terms and Conditions related to the Rewards Program, as between You and Upgrade, will be governed by the laws of the State of California without regard to any conflict of laws provision. You irrevocably consent to the exclusive jurisdiction and venue of the United States District Court for the Northern District of California in connection with any dispute or the enforcement of any right arising from the Rewards Program. (All matters relating to the Card Account, including credit extension, repayment obligations, and issuer rights and obligations, are governed by the Cardholder Agreement with Pathward®, National Association and applicable federal law, as specified therein.
  12. Termination of Program. These Terms and Conditions are effective upon Your participation in the Program and will remain in effect until termination of Your related Card Account Agreement. Termination will not prejudice either Your or Upgrade’s remedies at law or in equity.
  13. Tax: Tax Documentation. You will be solely responsible for any and all tax liability arising out of the Rewards. Please consult Your tax advisor.
